1. Introduction

RUNWAi is a Brand/Project operated by PIX Ltd. These Terms and Conditions ("Terms") govern your use of the website www.runwai.agency ("Website") and any services provided by PIX Ltd ("we", "us", "our") through the Website or otherwise in connection with RUNWAi, a project and trademark of PIX Ltd. RUNWAi specialises in AI-generated fashion content, including hyper-realistic avatar models, images, and videos for fashion brands, designers, and online retailers.

By accessing the Website or submitting a quotation request, you agree to be bound by these Terms. These Terms form a legally binding contract between you and PIX Ltd, company registered in England and Wales at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ ("PIX Ltd").

2. Who We Serve

Services are provided exclusively to businesses and sole traders ("Clients"). Individuals under 18 years old may not use the Website or request services. You confirm you have authority to bind your business.

3. Website Use

• You may browse the Website for information.

• The Website contains models, images, and descriptions owned by PIX Ltd. Limited licence for personal, non-commercial viewing.

• Prohibited: copying content for commercial use, reverse engineering AI outputs, unlawful activity, or deceptive advertising.

4. Quotation Requests

Clients request quotations via the contact form, providing personal/business details and garment/design information ("Request").

• We analyse Requests and issue a quotation ("Quotation").

• Quotations are valid for 30 days and non-binding until a separate engagement contract ("Contract") is signed.

• No orders or purchases occur on the Website; all engagements require a signed Contract.

Upon Contract signing:

• We use AI generative tools with human oversight to produce images/videos of garments on avatars ("Outputs").

• Turnaround, file formats, revisions, and acceptance criteria specified in Contract.

• Subtle AI variations in avatar appearance may occur and are acceptable.

• Outputs stored securely on our servers with cloud backups.
  
  6. Intellectual Property Rights

Library Models

For PIX Ltd library models, Clients receive a limited licence for use during the Contract time window.

Licence may be extended upon payment. PIX Ltd retains all ownership.

Custom Avatars

Clients may request custom avatars.

Limited-time licence or perpetual licence (upon full payment, transferring ownership of rights of use).

All Outputs grant Clients rights as specified in Contract. Clients warrant they hold rights to supplied garments/designs.

7. Client Materials

Clients may upload garments, logos, references, or assets ("Client Materials").

Clients warrant clear rights in Client Materials.

We store securely and do not distribute to third parties without written authorisation.

Opt-out: Clients may request no use of their briefs, garments, outputs, or brands in our portfolio/marketing.

8. Fees and Payment

Fees, deposits, payment terms per Contract. Ownership/licences conditional on full payment.

9. Revisions, Delivery, and Acceptance

Revisions per Contract.

Delivery timelines estimated based on scope.

Client approves Outputs as delivered; subtle AI variations accepted.

10. Refunds and Cancellation

Compliant with UK Consumer Rights Act 2015 where applicable (though primarily B2B). Specifics in Contract. No refunds post-acceptance/delivery.

11. Liability and Disclaimers

Services provided "as is". No warranties on AI Outputs matching exact expectations.

Liability limited to fees paid. No consequential damages.

We not liable for Client Materials misuse or third-party claims.

12. Confidentiality

Client data handled per Privacy Policy. Strict non-disclosure unless authorised.

13. Termination

We may suspend access for breaches. Contracts terminable per terms therein.

14. Governing Law

Governed by laws of England and Wales. Disputes in courts of England and Wales.

15. Changes

We may update Terms; continued use constitutes acceptance.
