Terms of service.

Terms and Conditions for RUNWAi Website and Services

1. Introduction

RUNWAi is a brand and project operated by Pix Ltd, a company registered in England and Wales under company number 17002210, whose registered office is at 71–75 Shelton Street, Covent Garden, London WC2H 9JQ.

These Terms of Service (“Terms”) govern use of www.runwai.agency (“Website”) and services supplied by Pix Ltd (“Provider”, “we”, “us”, “our”) through the website or otherwise in connection with RUNWAi. RUNWAi provides AI-assisted creative production services, including synthetic human and animal models, outfit visualisation, product imagery, still images, animation, audio and video content. Services under these Terms are available exclusively to companies, organisations and sole traders acting for business purposes (“Client”).

2. Who We Serve

Services under these Terms are available exclusively to companies, organisations and sole traders acting for business purposes (“Client”). Consumer requests may be declined or referred to separate consumer terms. Individuals under 18 years old may not use the Website or request services. The person accepting a quotation confirms that they have authority to bind the Client.

3. Website Use

Website content is made available for information and viewing purposes only. Access to the Website does not grant any licence to reproduce, distribute, commercially exploit or otherwise use displayed models, images, videos, text or other Website content. The Website contains models, images, descriptions and other materials owned or controlled by Pix Ltd. Users are granted a limited, revocable, non-exclusive licence to view the Website for personal, non-commercial purposes only. Users must not use the Website unlawfully; attempt to reverse engineer, extract or replicate the underlying AI models, prompts, workflows or production methods used by Provider; attempt unauthorised access; or copy Website content for commercial purposes without Provider’s prior written permission. Nothing in these Terms restricts rights that cannot lawfully be restricted. This Section does not limit the licence granted to a Client for commissioned Outputs under the applicable Quotation and Annex.

4. Quotation, Agreement and Annex

A request for information or a quotation does not create an obligation to purchase or supply Services. Provider issues a written quotation describing the agreed services, fees, deliverables, licence and project-specific conditions (“Quotation”). Unless stated otherwise, Quotations remain open for acceptance for 30 days. Clientʼs acceptance of the Quotation in the manner specified in it forms the services agreement (“Agreement”). No separate signed contract is required unless the Quotation expressly provides otherwise. The Agreement comprises: the accepted Quotation; the AI Content and Publication Annex supplied with or expressly identified in the Quotation (“Annex”); and the version of these Terms supplied with or expressly identified in the Quotation. The Terms and Annex shall be made available to Client before acceptance.
In the event of a conflict, the Annex prevails in relation to the matters it expressly addresses. For all other matters, the Quotation prevails over these Terms. Website use alone does not constitute acceptance of a Quotation or create a services engagement.

5. Services

Upon formation of the Agreement, Provider will perform the Services with reasonable care and skill, using AI tools and human oversight. The Quotation specifies the project scope, deliverables (“Outputs”), formats, timetable, included revisions, acceptance requirements and licence. AI production may involve variations in appearance and visual details. These variations do not excuse a material failure to meet the agreed specifications. Changes to the agreed scope, additional revisions or additional formats may require a revised fee and timetable, subject to written agreement. Delivery dates are estimates unless expressly agreed as binding. Client delays in providing materials, instructions or approvals may affect the timetable.

6. Client Materials and third-party tools

Client shall provide the materials, instructions and approvals reasonably required to perform the Services. “Client Materials” means garments, designs, logos, photographs, references, audio, personal likenesses and other materials supplied or authorised by Client for use in the Services. Client warrants that it has the rights and permissions necessary for the agreed use of Client Materials. Provider uses third-party AI platforms and other production service providers. Unless a different arrangement is expressly agreed in writing, their applicable terms may permit retention of submitted materials and generated content, and use of that content for model training or service improvement.

Provider shall identify the intended principal AI production platforms in the Quotation or project correspondence before uploading Client Materials. If a proposed change introduces materially different content-use or confidentiality conditions, Provider shall notify Client and obtain agreement before using the affected Client Materials with that platform. By accepting the Quotation, Client authorises the use of the identified platforms under the content-use conditions communicated to Client, including any communicated training or service-improvement permissions.

Client warrants that it is entitled to provide that authorisation. Client must identify confidentiality restrictions, personal-data concerns, training restrictions or special handling requirements before supplying affected materials. Such requirements form part of the Services only when expressly accepted by Provider in writing. Provider does not promise exclusion from third-party model training unless that protection is expressly agreed and supported by the applicable supplier arrangements. Contractual authorisation does not replace any consent, lawful basis, data processing agreement or other requirement imposed by applicable law. Ownership of Client Materials remains with Client or its licensors, subject to the permissions and licences authorised for performance of the Services.

Where Client Materials include the image, voice, likeness, performance or other personal attributes of an identifiable real person, Client warrants that it has obtained all consents, releases, licences and other permissions required for Provider to use those materials to create the agreed Outputs. Client shall not supply materials intended to create a synthetic model based on an identifiable real person unless it has the necessary permissions. Client remains responsible for establishing any lawful basis, providing required privacy information, and complying with applicable data-protection law in relation to such materials. Provider may decline or require additional assurances before using materials involving children, vulnerable individuals, biometric data, or unclear consent.

7. AI platforms and service continuity

Provider may use alternative AI platforms, tools or production methods where reasonably necessary due to supplier availability, technical failure, policy changes, legal restrictions or model deprecation. Provider shall notify Client where a change materially affects confidentiality, content-use, quality or delivery arrangements. If performance becomes impossible or unlawful, Provider may terminate the affected Services and refund any prepaid fees for Services not performed, subject to the payment and cancellation provisions.

8. Intellectual Property and licences

The Quotation specifies the permitted use of Outputs and synthetic models, including duration, exclusivity, territory, channels and any other restrictions.

‘Library Model’ means a pre-existing synthetic model, visual asset or other Provider material made available to more than one client. ‘Custom Model’ means a synthetic model developed specifically for Client under the relevant Quotation.

For a ‘Library Model’, Client receives only the licence expressly stated in the Quotation. No ownership transfer or exclusivity is implied.

For a ‘Custom Model’ or Outputs, an exclusive or perpetual licence must be expressly stated in the Quotation. A perpetual licence does not, by itself, transfer copyright or other ownership rights. Unless expressly assigned in writing, rights held by Provider in its pre-existing assets, production methods and other Provider-owned materials remain with Provider. Licences and any agreed assignment take effect only after full payment, unless the Quotation states otherwise. Any licence or assignment is limited to rights that Provider owns or is authorised to grant and is subject to applicable third-party rights and restrictions communicated to Client. Unless the Quotation expressly states otherwise, an exclusive licence means that Provider will not supply or license the specified custom model or Outputs to another client within the agreed scope. It does not constitute a guarantee that third-party AI systems cannot independently generate similar content, or extinguish rights already authorised under the applicable platform terms. Provider does not warrant that every AI-generated element independently qualifies for copyright protection.

9. Delivery, review and approval

Provider will deliver Outputs in the manner specified in the Quotation.

Unless the Quotation specifies another period, Client shall review each delivered batch and provide a consolidated written response within ten business days after the Outputs are made available and Client is notified. The review period starts on the first business day following that notification. “Business day” means Monday to Friday, excluding bank holidays in England and Wales. Feedback shall identify the affected Outputs and distinguish any material departure from the agreed specifications from requests for creative changes or additional work.

If Client neither approves the Outputs nor provides such feedback within that period, the Outputs shall be treated as accepted for the purpose of closing the ordinary review stage. Publication or commercial use of an Output also constitutes acceptance of that Output for that purpose.

This does not waive claims concerning a material non-conformity that could not reasonably have been identified during the review period, or rights that cannot lawfully be excluded. Provider shall address notified non-conformities with the agreed specifications. Creative revisions are limited to those included in the Quotation. Additional requests may require further fees and a revised timetable.

Any extension of the review period must be agreed in writing before the applicable deadline. Client approval does not remove any publication or disclosure obligation under the Annex or applicable law. Client is responsible for downloading and retaining delivered files. Ongoing storage, backup, archiving and guaranteed future retrieval are not included unless expressly agreed.

10. Fees, Payment and cancellation

Fees, deposits, payment dates and applicable taxes are stated in the Quotation.Provider may suspend work or delivery for overdue payments after giving written notice and a reasonable opportunity to remedy the non-payment. Cancellation charges, if any, are stated in the Quotation. Unless otherwise agreed, Client shall pay for Services properly performed and reasonable, non-recoverable project commitments made before cancellation, without double recovery. Except where required by law or expressly agreed in writing, fees for accepted Outputs or delivered Services are non-refundable. Any prepaid amount exceeding the sums properly due on cancellation shall be returned to Client. Approval, delivery or cancellation does not exclude remedies that cannot lawfully be excluded.

11. Confidentiality and portfolio use

Each party shall protect the other partyʼs confidential information and use it only for purposes authorised under the Agreement. Disclosure is permitted to personnel and service providers who need the information to perform the Agreement, subject to the confidentiality arrangements and third-party content-use permissions agreed under Section 6, or where required by law. Provider will not use Clientʼs name, brand, Client Materials or commissioned Outputs in its own portfolio or marketing without Clientʼs prior written permission. Provider will not intentionally make Client content publicly available through a production platform unless authorised by Client. Personal data is handled in accordance with applicable data protection law and Providerʼs Privacy Policy. Any additional data processing arrangements required for a project must be agreed separately.

12. Responsible use and third-party restrictions

Client shall use Outputs only within the agreed licence and in compliance with the Annex, applicable law and third-party restrictions communicated before acceptance or subsequently agreed. Client shall not use Outputs for model training, fine-tuning or other restricted AI-development purposes unless expressly permitted in writing and compatible with applicable supplier conditions. If Provider receives a binding legal requirement or a valid contractual demand from a production supplier affecting an Output, Provider shall promptly notify Client where legally permitted and take reasonable steps to explain the restriction and explore an appropriate remedy. Client shall cooperate with any legally or contractually required cessation of use or removal of affected Outputs. This does not exclude remedies Client may have against Provider under the Agreement or applicable law.

13. Liability and Disclaimers

Nothing in the Agreement excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Subject to the above, each party’s total aggregate liability arising out of or in connection with the relevant project shall not exceed the total fees paid or payable under the relevant Quotation. Subject to the same exclusions, neither party shall be liable for indirect or consequential loss. Provider is not responsible for unlawful or misleading claims, alterations or publication context introduced by Client or third parties acting on Client’s behalf, except to the extent that Provider caused or contributed to the relevant breach. Nothing in this clause relieves Provider of its obligation to perform the Services with reasonable care and skill. The liability cap in this Section does not apply to liability that cannot lawfully be limited.

14. Termination

Either party may terminate the Agreement for a material breach that remains unremedied 14 days after written notice identifying the breach, where the breach is capable of remedy. Provider may suspend affected Services where reasonably necessary to avoid unlawful activity or a material breach of applicable supplier restrictions, subject to notifying Client where legally permitted. Termination does not affect accrued payment obligations or rights and obligations intended to continue, including applicable licence restrictions, confidentiality and liability provisions.

15. Governing Law

The Agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to any mandatory law to the contrary. Updates to Website Terms apply prospectively and do not amend an existing Agreement unless agreed by the parties.
